Firepoint Energy is a private company seeking to raise the funds necessary to develop a pilot site to convert waste coal into clean-burning jet fuel. The process will heat the rock in the coal pile so we can extract rare earth minerals and other critical minerals from the coal and ore. We also intend to take in wastewater from natural gas wells that contain salt, lithium, and other minerals to extract them on-site as well.
At this time, we can only accept funds from Accredited Investors. We are working to become publicly traded and have started that process, which will take several months.

FAQ
Private Offering
This is a private offering of the company’s common stock prior to our public offering in the near future. These funds will be used to develop the pilot site in Tunnelton, Pennsylvania. We need to acquire pumps, re-dig retention ponds, clear 12 years of brush and trees out of the way, and get the site in working order.
Restricted Shares
The shares you will acquire are restricted shares. When the company actively goes public, you will be able to lift the restriction and add them to your stock trading account. This process will take at least one year from the time you purchase these shares.
Convertible Note
We are raising capital through a debt instrument called a convertible note. The Note is a 12% interest-bearing note with a discount to market of 20%. These shares will have the ability to convert into Preferred shares of the Public Company at the investor’s discretion. These are available to Accredited Investors only.
When will you be Publicly Traded?
We have entered into agreements to acquire a public shell company on the OTC Markets. Funds from our offering will be used to close on the shell, bring financials into current status, file with FINRA, OTC, and other entities to facilitate the merger of the two companies. they will also be used to file and obtain a new Stock Ticker Symbol on the OTC Markets. This process will take several months to complete.
What will your Ticker Symbol Be?
That will eventually be determined by FINRA and OTC Markets. Once the merger is nearing completion, the public company goes through a phase where the old symbol is retired, and the new symbol is processed by FINRA and the OTC.
What if Im not an Accredited Investor?
As a private company, we are limited in how we can take in an investment. This limitation is set by the SEC and FINRA regulatory agencies.
To all non-accredited investors, we are willing to pay a high interest rate for the use of your funds. You will need to wait until we are publicly traded to acquire shares at that time.

Preferred Minimum Investment $20,000 to $1,000,000
If you are an Accredited Investor, this is the amount that has been set as a minimum investment. While we are open to smaller offerings at this time, we are trying to raise the first million dollars to begin the vital developmental processes at the pilot site. In total, we will need $5,000,000 to start phase 1 of this project. The second phase will take $100 million to implement.

Our ability to accept funding from non-accredited investors is limited by the SEC and FINRA. We are willing to pay a higher interest rate to individuals who don’t qualify as Accredited Investors. Restricted shares can be added to your trading account. They will not have a value until they become free trading. We can assist with the 144 letter and the Transfer Agent in order to get your shares free trading in the future.
We are leasing 100 acres in Conemaugh Township on the Conemaugh River. At one time the site was an active coal mine and then a wastewater treatment plant. We need to reactivate the wastewater treatment plant, re-dig a retention pond, clear trees, remove debris from the coal mine and its plant, and dig up the 4 million tons of waste coal. From there we will install gasifiers, reverse osmosis equipment, and rare earth extraction equipment, then hire engineers, and file for permits. That is the top-level view of the plant and its facilities. In total we will be investing over $100 million in this small plant over the next few years.
The convertible note is secured by the assets we acquire to rebuild the wastewater treatment system, heavy equipment, gasifiers, gas-to-liquids plants, and other assets. It has a First Payout clause in the event of Firepoint failing and liquidating. The unsecured notes for smaller investors are not secured. However, we can tie them to the assets if that helps in an investment situation.
We have already initiated the agreements to acquire the shell company that has been prepared for a project like this. The principal of Firepoint is a significant shareholder of the shell company and seeks for the merger to happen as quickly as possible. This process is expected to take a few months.
The shell company we are working to merge with is traded on the OTC Markets at this time. There is currently no trading activity as the shell is dormant. When we acquire the shell, it will take time to bring in new market makers and develop the market for Firepoint with a new stock trading symbol. We will get the company to a Pink status as soon as possible with the intention to move up to OTCQB or higher markets over time.
Absolutely. All we are doing now it is raising the capital to carry out our initial plan and to strengthen the company’s position. Once we are publicly traded, you can acquire and sell shares through your brokerage at your discretion.
